American Shipping Company ASA – New share capital registered

Reference is made to the stock exchange notice by American Shipping Company ASA (the “Company”) on 15 September 2022 regarding the private placement of 11,247,333 new shares in the Company (the “Private Placement”) at a subscription price of NOK 36 per share.

The share capital increase for the 6,061,650 new shares in Tranche 1 of the Private Placement has now been registered with the Norwegian Register of Business Enterprises. The new share capital of the Company is NOK 66,678,155 divided into 66,678,155 shares with a nominal value of NOK 1 each.

The new shares in Tranche 1 will be delivered to DNB Bank ASA as redelivery of shares under a share lending agreement between DNB Bank ASA, DNB Markets (on behalf of Clarksons Securities AS, DNB Markets, a part of DNB Bank ASA, and Pareto Securities AS, the joint bookrunners in the Private Placement) and the Company. The share lending agreement was entered into in connection with the Private Placement for the purpose of facilitating delivery of existing and unencumbered shares in the Company that were already listed on Oslo Børs to the investors who were allocated shares in Tranche 1 of the Private Placement on a delivery-vs-payment basis.
